This web hosting agreement has been entered into between (Client, Site Owner) and Farmboy (Host, Hosting Provider). The main purpose of this Agreement is to precede a contract arrangement under which Host will provide Web Hosting services beginning on and will commence upon receipt of all deliverables.

Payment

Payment terms are Net 15 unless otherwise agreed by both parties in writing. All fees listed below are inclusive of taxes, labor, and maintenance fees. Initial deposit is due in advance or at deployment of site.

Deliverables & Client Terms

Web hosting provider will deliver the following services under the scope of this web hosting agreement and will honor the terms below during the contract terms unless otherwise agreed between parties.

Length of Service

1. Site Owner agrees to enter a standard 12 month contract term beginning June 25, 2026.
2. Initial deposit shall be due in advance of any service provided.
3. Service shall begin immediately following such payment or agreement date as agreed between parties.
4. This Agreement is under automatic renewal terms and may only be canceled with written notice no later than 60 days prior to the end of Term renewal date.
5. Renewal prices are subject to change. Service Provider will provide notice upon such change taking place.
6. In instance of any changes in pricing client signature on said renewal will constitute as agreement of said changes.
7. Renewal fees for the following term will be automatically invoiced to Client’s account.
8. Hosting Provider is in agreement to refrain from decompiling , disassembling, decoding, or reverse engineering of any Company program, code or technology belonging to Site Owner.
9. Site Owner holds current rights to use any applicable trademarks or copyrighted material used in connection with this service while web hosting agreement is in effect.

Support Hours

The Hosting Provider agrees to provide a maximum of 1 hour of technical support per month. Any support requests exceeding this limit will be subject to additional fees at the rate of $150 per hour. The Client acknowledges that it is their responsibility to monitor the usage of support hours and may request additional hours in advance of exceeding the monthly limit. Unused support hours do not carry over to subsequent months

Termination

Client may terminate this Web Hosting Agreement at its sole discretion upon the occurrence of one or more of the following events:

1. Failure to comply with any and all terms listed above
2. Bankruptcy of either party
3. Upon written agreement between both parties
4. Host may terminate this Agreement at any time, for any reason, by providing written or e-mail notice of termination to Client's primary website e-mail contact address no less than 30 days prior to the service termination.
5. If either Party terminates this Agreement, Host will back up all Client's current Website content as an archive file, and send them to Client either as an attachment to an e-mail or via other file transfer process. Files will not be maintained or archived. Host may make arrangements to migrate site, if requested, for an agreed fee.

Warranties and Limitation of Damages

Host makes no warranties or representations of any kind, whether expressed or implied for the service it is providing and Services provided is at Client's sole risk. Host also disclaims any warranty of merchantability or fitness for any particular purpose and will not be responsible for any damages that may be suffered by Client, including loss of data resulting from delays, non-deliveries or service interruptions by any cause or errors or omissions of Client. Use of any information obtained by way of Host is at Client's own risk, and Host specifically denies any responsibility for the accuracy or quality of information obtained through its services. Connection speed represents the speed of an end-to-end connection. Host does not represent guarantees of speed or availability of end-to-end connections. Host expressly limits its damages to Host for any non-accessibility time or other downtime to the pro-rata monthly charge during the system unavailability. Host specifically denies any responsibilities for any damages arising as a consequence of such unavailability.

Trademarks and Copyrighted Material

Client warrants that it has the right to use any applicable trademarks or copyrighted material used in connection with this service.

General

If any terms are found unenforceable in this contract all other terms shall remain in full effect and shall not be altered unless previously agreed between parties. This Agreement shall be governed by and construed in accordance with the laws of the State of . Any and all court proceedings regarding this web hosting agreement will take place at said state with travel expenses not being reimbursed for either party.
